These Terms of Service ("Terms") govern your use of nearpost.co (the "Site") and any Google Business Profile management subscription service ("Service") provided by Nearpost ("we," "us," "our"). By requesting an audit, subscribing to the Service, or otherwise using the Site, you agree to these Terms.
Nearpost offers a free Google Business Profile audit to businesses that request one through the Site. The audit is provided for informational purposes, is yours to keep whether or not you engage our paid Service, and does not create any ongoing obligation on either party.
Our paid Service includes ongoing management of your Google Business Profile, which may include: posting updates, adding photos, responding to reviews, monitoring for accuracy issues, and providing periodic performance summaries. Specific deliverables vary by plan tier:

Current plan details and pricing are listed on the Site and may be updated from time to time; changes will not retroactively affect an active subscription's price without notice, as described in Section 5.
To deliver the Service, you agree to:
Subscriptions are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize recurring monthly charges to your provided payment method until you cancel.
We may update our pricing or service offerings over time. Any pricing change will apply to new subscriptions or take effect at your next renewal following at least 14 days' notice by email — never retroactively mid-cycle without notice.
If we make a change to the Service that materially reduces its core functionality for your plan tier, you may terminate your subscription and receive a pro-rated refund of any prepaid, unused fees for the remainder of your current billing cycle.
By subscribing to the Service, you represent that:
Our Service depends on Google Business Profile and may involve other third-party platforms, tools, and services (including Google Search, Google Maps, and third-party automation or hosting providers we use to deliver the Service). We do not control these platforms and are not responsible for their availability, changes to their features or policies, or actions they take with respect to your business listing — including suspension, removal, or alteration of your profile by Google. We will make reasonable efforts to notify you of any such issue we become aware of, but we cannot guarantee or control the behavior of platforms we do not own.
We may use artificial intelligence tools to assist in delivering parts of the Service, such as drafting suggested post content or processing information more efficiently. We do not use your specific business data to train third-party AI models. AI-assisted output is reviewed as part of our normal process before it is used on your behalf.
You agree to indemnify and hold Nearpost harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) inaccurate or misleading business information you provide us, (b) your violation of these Terms, or (c) your violation of any law or third party's rights in connection with your use of the Service.
You may cancel your subscription at any time by notifying us at hello@nearpost.co. We reserve the right to suspend or terminate Service for non-payment, misuse of the Service, or provision of false business information, with notice where reasonably possible.
Content we create for your Google Business Profile (posts, photo selections, review responses) becomes part of your business's profile and is yours to use. Nearpost's own templates, audit methodology, scoring systems, and internal tools remain our intellectual property. Content posted to Google's platform is also subject to Google's own terms of service, which we do not control.
To the fullest extent permitted by law, Nearpost's total liability arising from the Service is limited to the amount you paid us in the three (3) months preceding a claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.
Neither party is liable for delays or failures in performance resulting from events outside their reasonable control, including internet or hosting outages, changes to third-party platforms or APIs (including Google's), natural disasters, or other circumstances beyond the affected party's reasonable control.
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms represent the entire agreement between you and Nearpost regarding the Service and supersede any prior agreements or understandings, written or verbal. Legal notices under these Terms may be delivered by email to the address associated with your account.
We may revise these Terms from time to time. Material changes will be reflected by updating the effective date above, and active subscribers will be notified by email.
